Terms of Service — Mu'tamad (معتمد)

These Terms of Service ("Terms") govern your access to and use of Mu'tamad (معتمد) ("the App", "Service", "we", "us", "our"), a Shopify application that helps merchants in Saudi Arabia produce and submit ZATCA (FATOORA) Phase 2 e-invoices. By installing or using the App, you ("you", "the Merchant") agree to these Terms. If you do not agree, do not install or use the App.

1. The App is a tool, not a tax/legal advisor

The App is software that assists you in generating, signing, and transmitting e-invoices to ZATCA. It does not constitute tax, accounting, or legal advice. Compliance with ZATCA e-invoicing regulations, VAT law, and all Saudi tax obligations is and remains your sole legal responsibility. You are responsible for confirming that the invoices and credit notes produced are correct and that your reporting obligations are met.

3. Service provided "AS IS"

The App is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, whether express, implied, or statutory, including (without limitation) any implied warranties of merchantability, fitness for a particular purpose, accuracy, title, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, secure, or that it will meet your requirements, or that invoices will in every case be accepted by ZATCA. We do not guarantee any level of uptime or that ZATCA's systems will be available.

4. No liability for ZATCA outcomes, fines, or penalties

To the maximum extent permitted by law, we are not liable for, and you will not hold us responsible for, any of the following — even where the App contributed to them:

5. Limitation of liability

To the maximum extent permitted by applicable law, in no event will we (or our owners, employees, or suppliers) be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to the App or these Terms, whether in contract, tort (including negligence), strict liability, or otherwise, even if we have been advised of the possibility of such damages.

Liability cap. Our total aggregate liability for all claims arising out of or relating to the App or these Terms will not exceed the greater of (a) the total fees you actually paid us for the App in the three (3) months immediately before the event giving rise to the claim, or (b) USD 50. Where you use a free plan, our total aggregate liability will not exceed USD 50. Some jurisdictions do not allow certain of these limitations; in that case they apply to the fullest extent permitted.

6. Indemnification

You will indemnify, defend, and hold us harmless from and against any claims, damages, liabilities, penalties, and expenses (including reasonable legal fees) arising out of or related to your use of the App, your data, your tax affairs, your breach of these Terms, or your violation of any law or third-party right.

7. Fees & plans

Paid plans are billed through Shopify's billing system under the plan you select. Usage limits are described in the App; invoicing is not hard-blocked at the cap, but continued use above your plan may require an upgrade. Fees are non-refundable except where required by law. We may change plans or pricing on reasonable notice.

8. Suspension & termination

You may stop using the App at any time by uninstalling it. We may suspend or terminate access if you breach these Terms, misuse the App, or where required for security or legal reasons. On termination we handle your data as described in our Privacy Policy, subject to legal retention requirements.

9. Changes to these Terms

We may update these Terms; the "Last updated" date will change and material changes will be communicated through the App. Continued use after changes take effect means you accept the updated Terms.

10. Governing law

These Terms are governed by the laws of the jurisdiction of our registered office, without regard to conflict-of-law rules. Nothing in these Terms limits any rights you may have under mandatory law that cannot be waived.
